Terms of Service

The terms under which Codeaex provides access to AMS.

1. The agreement

These terms govern your organization's use of the Accreditation Management System operated by Codeaex. Where a signed order form or operating agreement exists between us, that document takes precedence over these terms to the extent of any conflict.

By accessing a workspace, you accept these terms on behalf of the organization you represent.

2. Workspaces and accounts

Workspaces are provisioned by us and the nominated administrator is invited by email. Administrators are responsible for who they invite, the permissions they grant, and revoking access when a person leaves.

Accounts are personal. Credentials must not be shared between individuals, and you must notify us promptly if you believe an account has been compromised.

3. Acceptable use

You agree not to:

  • Use the platform to store unlawful content or to breach the rights of others.
  • Attempt to access another organization's workspace, records or infrastructure.
  • Probe, scan or test the security of the platform without our prior written consent.
  • Resell, sublicense or provide the platform as a service to third parties outside your agreement.
  • Interfere with the availability or integrity of the service for other customers.

4. Your data

Records your organization enters remain yours. We claim no ownership over your registers, applications, assessments, documents or certificates.

We process that data to operate the service for you, in accordance with our Privacy Policy and Data Processing Addendum.

5. Fees and billing

Subscription fees are those stated in your order form or on the pricing page in force when you subscribe. Fees are stated exclusive of local taxes, which are added where applicable.

Monthly plans bill monthly in advance; annual plans bill yearly in advance. Fees are non-refundable except where required by law or expressly agreed in writing.

6. Availability and support

We aim to keep the platform available and to resolve issues promptly. Planned maintenance is scheduled to minimise disruption where practical.

Standard plans receive standard support; Professional receives priority support; Enterprise agreements may include a written service level commitment.

7. Suspension and termination

We may suspend access where an account is used in breach of these terms, where fees remain unpaid after notice, or where continued access presents a security risk.

Either party may terminate in accordance with the agreement in force. On termination, your data is returned or deleted as that agreement specifies.

8. Warranties and disclaimers

We provide the platform with reasonable skill and care. Beyond that, and to the extent permitted by law, the service is provided without further warranties.

The platform supports your accreditation process; it does not constitute accreditation, certification, legal or regulatory advice, and it does not replace your obligations as an accreditation body.

9. Liability

Neither party excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot lawfully be excluded.

Subject to that, and to the extent permitted by law, our aggregate liability arising under or in connection with the agreement is limited to the fees paid by you in the twelve months preceding the claim.

10. Changes

We may update these terms as the service develops. Material changes will be notified to organization administrators before they take effect.
